Licensing Agreement

    1. Definitions

    • โ€œServiceโ€ means the provision of a subscription that you have purchased access rights to.

    2. Access and Use

    • Pano grants you a non-exclusive, non-transferable right to access and use the Service during the term of this Agreement, subject to your use for business purposes only.
    • You agree not to use the Service beyond the scope granted in this Agreement. Specifically, you are required to comply with the following: (i) do not copy, modify, or create derivative works of the Service, (ii) do not lend, lease, sell, license, sublicense, transfer, distribute, publish, transfer, or provide the Service to a third party, (iii) do not attempt to disassemble, decompile, analyze, or access the software, (iv) do not remove ownership notices from the Service, and (v) do not infringe intellectual property rights, misuse, or use for illegal activities.

    3. Suspension

    • Notwithstanding any other provision of this Agreement, Pano may temporarily suspend your access to the Service in whole or in part in the following cases: (i) if the use of the Service is reasonably determined to impede access or stability, or pose a security risk to the Service, (ii) if Pano's vendor has suspended or terminated access to third-party services or products, or (iii) if payment to Pano is delayed. Pano will make commercially reasonable efforts to provide you with written notice of the suspension of the Service and provide you with updates on the resumption of the Service. Pano will make commercially reasonable efforts to resume access to the Service as soon as possible after the cause of the suspension has been resolved. The Provider shall not be liable for any damages, liabilities, losses (including data loss and loss of profits), or other consequences suffered by customers or authorized users as a result of the suspension of the Service.
